These Terms of Service (“Terms”) govern the access to and use of the application programming interfaces, websites, data services, documentation and related services made available through api.trademarksearchpro.com (“API”) by Meerad Business Solutions Private Limited (“Company”, “we”, “our”, “us”).

By registering, subscribing to, accessing, integrating with, testing, or using the API, you (“Customer”, “you”, “your”) agree to be legally bound by these Terms.

If you do not agree with these Terms, you must not access or use the API.

1. Definitions

“API” means all interfaces, endpoints, services, datasets, documentation, software, credentials, and related services made available by the Company.

“Customer” means the person, law firm, company, organisation, partnership, LLP, sole proprietor, consultant or entity using the API.

“Internal Use” means use solely within Customer’s own organisation or use directly for servicing Customer’s own clients without redistributing the API.

“Subscription” means the paid access plan purchased by the Customer.

2. Eligibility

You represent and warrant that:

• you are at least 18 years of age;
• you have authority to bind the organisation you represent;
• all information provided by you is true and accurate;
• your use complies with applicable laws.

3. Limited License

Subject to these Terms and payment of applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the API solely for Internal Use. No ownership rights are transferred.

4. Permitted Uses

You may use the API:

• within your organisation;
• within internal software developed for your employees;
• within internal systems used by your legal or IP teams;
• to provide trademark-related services directly to your own clients;
• for due diligence and advisory services;
• for internal reporting and workflow automation.

5. Prohibited Uses

You shall NOT:

• build, operate or sell trademark search software;
• build trademark watch software;
• build trademark management software;
• build competing APIs;
• build SaaS products substantially similar to Trademark Search Pro;
• white-label the API;
• resell API access;
• redistribute API credentials;
• provide public trademark search portals;
• provide API access to third parties;
• sublicense the API;
• create derivative commercial products using the API;
• use the API to compete with the Company.

The Company may determine, acting reasonably, whether a use violates this clause.

6. Account Security

You are responsible for:

• maintaining confidentiality of API credentials;
• restricting access to authorised personnel;
• notifying us immediately of unauthorised use.

You remain responsible for all activities performed using your credentials.

7. Fair Usage

You shall not:

• circumvent rate limits;
• overload systems;
• perform denial-of-service activities;
• use automated attacks;
• share credentials;
• scrape beyond authorised access.

We may implement usage controls at any time.

8. Monitoring and Audit Rights

The Company may monitor API usage for security, billing, abuse prevention and compliance purposes.

Where misuse is reasonably suspected, we may request information demonstrating compliance. Failure to cooperate may result in suspension.

9. Suspension and Termination

We may suspend or terminate access immediately, without prior notice, if:

• these Terms are breached;
• misuse is suspected;
• fraud is suspected;
• payment remains unpaid;
• security concerns arise;
• legal requirements require suspension.

No investigation must be completed before suspension.

10. Strict No Refund Policy

Users are strongly encouraged to request demonstrations, test available services, and evaluate suitability before subscribing.

No refunds shall be issued under any circumstances including:

• dissatisfaction;
• change of mind;
• reduced usage;
• technical interruptions;
• delays;
• suspension;
• termination;
• inability to use all credits;
• changes in customer requirements;
• government actions;
• third-party actions.

Cancellation only prevents future renewals and does not entitle the Customer to any refund.

11. Pricing and Subscriptions

Subscription fees shall be payable in advance. Applicable taxes including GST shall apply.

The Company reserves the right to revise prices at any time. Existing subscriptions shall generally remain valid until expiry. Revised pricing may apply upon renewal.

12. Service Modifications

The Company may modify features, add features, remove features, discontinue endpoints, change documentation, revise limits, and restructure plans. Such changes shall not create refund obligations.

13. Government Data Dependency Disclaimer

The API relies upon publicly available information, including information sourced from IP India and other public sources. IP India does NOT provide an official API to the Company.

Accordingly: website changes, HTML changes, authentication changes, CAPTCHA implementations, anti-bot mechanisms, legal restrictions, government actions, infrastructure failures, regulatory requirements, and source unavailability may delay, interrupt, limit or prevent updates.

The Company shall not be liable for resulting delays or interruptions.

14. No Government Affiliation

Trademark Search Pro API is not endorsed by, affiliated with, sponsored by, or approved by IP India, the Government of India, or the Office of the Controller General of Patents, Designs and Trade Marks.

15. Data Accuracy Disclaimer

Public records may contain inaccuracies. The Company does not guarantee completeness, accuracy, correctness, currency, availability, or fitness for legal reliance.

Customers must independently verify information before relying upon it. The API is informational only and does not constitute legal advice.

16. Document Retention Policy

The Company may remove trademark documents, discontinue hosting, delete historical records, and optimise storage usage. Documents relating to non-customer trademarks may be removed without notice.

Only customer-related records may be retained longer at the Company’s discretion. Customers are responsible for maintaining their own backups.

17. Intellectual Property

All rights, title and interest in the API remain the exclusive property of Meerad Business Solutions Private Limited. Nothing transfers ownership rights to Customers.

18. Feedback

Suggestions, ideas or feedback submitted by Customers may be used by the Company without compensation.

19. Confidentiality

Each party shall protect confidential information received from the other party. Confidentiality obligations survive termination.

20. No Warranty

THE API IS PROVIDED “AS IS” AND “AS AVAILABLE.” THE COMPANY DISCLAIMS ALL WARRANTIES INCLUDING merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, performance, security, and uptime. No guarantee is made regarding uninterrupted operation.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: the Company’s total liability shall not exceed the fees paid by the Customer during the three (3) months preceding the claim.

The Company shall not be liable for loss of profits, loss of business, loss of revenue, loss of goodwill, business interruption, missed deadlines, missed filings, loss of data, or indirect, incidental, special, or consequential damages.

22. Indemnity

You agree to defend, indemnify and hold harmless Meerad Business Solutions Private Limited and its directors, officers, employees, developers, contractors, consultants, affiliates and agents against claims, liabilities, damages, losses and expenses arising from your use of the API, breach of these Terms, misuse of data, or infringement allegations arising from your products.

23. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond reasonable control including natural disasters, strikes, internet failures, cyberattacks, government actions, pandemics, power failures, and source system disruptions.

24. Survival

The following clauses survive termination: Intellectual Property; Confidentiality; No Refund; Limitation of Liability; Indemnity; Governing Law; Dispute Resolution.

25. Governing Law and Jurisdiction

These Terms shall be governed by the laws of India. Courts located at Patna, Bihar shall have exclusive jurisdiction.

26. Amendments

The Company may amend these Terms at any time. Continued use following publication constitutes acceptance.

27. Entire Agreement

These Terms constitute the entire agreement relating to the API.

28. Severability

If any provision is found unenforceable, remaining provisions remain effective.

29. Waiver

Failure to enforce any provision shall not constitute waiver.

30. Assignment

Customers may not assign rights without prior written consent. The Company may assign these Terms in connection with business restructuring or transfer.
